1. Acceptance of terms
These Terms of Service ("Terms") are an agreement between you (the pharmacy owner or authorised staff member using the Service, "you", "your store") and the MedixoRx team ("MedixoRx", "we", "us") governing your use of the MedixoRx desktop application, admin console, website, and related services (the "Service").
2. The Service
MedixoRx is billing, inventory, purchase and GST compliance software for pharmacies, designed to run primarily offline on your own computer, with optional cloud backup, license verification, and AI-assisted invoice scanning when you're online. We may add, change, or remove features over time to improve the Service; we'll make reasonable efforts to tell active subscribers about changes that materially affect them.

There is no setup fee and no per-bill charge on any plan. A 30-day free trial is available before any payment is due. Subscriptions are billed annually and paid by UPI or cash directly to the MedixoRx team, who record the payment against your subscription. Prices may change for future renewal periods; we'll notify you before a price change takes effect for your next renewal.
4. License grant & restrictions
We grant your store a non-exclusive, non-transferable license to install and use the Service, limited to the number of billing counters included in your plan, for as long as your subscription is active. You may not: sublicense, resell, or share your license key with another store; reverse-engineer or attempt to extract the source code of the Service, except where applicable law permits it; or use the Service to build a competing product.
5. Your data
You own the business data you enter into MedixoRx — your medicines, bills, customers, and suppliers. Because MedixoRx is offline-first, that data lives primarily on your own computer, and you are responsible for the security of that computer and for keeping it backed up (cloud backup, when enabled, is provided as a convenience and safety net, not a substitute for your own good practice). You are solely responsible for the accuracy of the business, tax, and compliance data (GST rates, HSN codes, Schedule H/H1 records, GSTR filings) you enter and generate using the Service — MedixoRx is a tool to help you produce and organise this data, not a chartered accountant or a legal adviser, and does not verify or guarantee its correctness for filing or regulatory purposes.
6. Acceptable use
You agree to use the Service only for lawful pharmacy operations, and in particular not to: use it to falsify GST records, prescription registers, or any other regulatory record; attempt to bypass license, subscription, or AI-scan quota enforcement; or use the Service in a way that disrupts it for other stores (for example, attempting to overload our cloud infrastructure).
7. Scan with AI
Scan with AI is an optional, internet-dependent feature that uses an AI model to read distributor invoices. It is provided as a convenience to reduce manual typing, not as a guarantee of accuracy — you must review every extracted row before saving it to your inventory, and you remain responsible for the accuracy of your purchase and stock records regardless of how they were entered. Each plan includes a monthly scan allowance; unused scans do not carry over, and manual purchase entry remains available and unlimited at all times.
8. Renewal, expiry & cancellation
You'll receive a reminder 30 days before your subscription expires. After expiry, there is a 30-day grace period during which billing continues to work; after that, billing is paused until you renew. Your data is never deleted for non-payment. You may cancel at any time by simply not renewing — there is no lock-in contract. Because a 30-day free trial is available before any payment is made, subscription fees already paid are non-refundable, except where required by applicable law.
9. Intellectual property
The MedixoRx software, website, branding, and documentation are the property of the MedixoRx team and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of the Service to you — you receive only the license described in Section 4. You retain all rights to your own business data (Section 5).
10. Disclaimers
The Service is provided "as is" and "as available". While we work to keep it reliable and accurate, we do not warrant that it will be uninterrupted, error-free, or fit for every specific regulatory requirement in every state — tax and drug-control rules vary and change, and you (or your CA) remain responsible for verifying compliance before filing or relying on any report the Service produces.
11. Limitation of liability
To the maximum extent permitted by law, MedixoRx will not be liable for any indirect, incidental, or consequential damages (including lost profits or lost data) arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the subscription fees you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be excluded under applicable law.
12. Termination
We may suspend or terminate your access to the Service if you materially breach these Terms (for example, sharing a license key or falsifying regulatory records) and don't correct it after we notify you. You may stop using the Service at any time. On termination, your local data on your own computer remains yours and is unaffected; our handling of any cloud-backed data is governed by our Privacy Policy.
13. Governing law
These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts having authority over our place of business in India.
14. Changes to these Terms
We may update these Terms from time to time. We'll update the "Last updated" date above, and for material changes we'll make reasonable efforts to notify active subscribers directly. Continuing to use the Service after a change takes effect means you accept the updated Terms.
